- authority to verify bank account
- undertaking to change name

I strongly suggest you purchase the pre-printed blank incorporation forms from the SEC-CRMD. The forms contain all the documents you need, in text that has alsready been cleared with the SEC legal department.

The problem with "customized" incorporation papers is that the SEC legal has to review them before approving your application. That's an extra step and can cause delay. With pre-printed forms, all they will check are the entries in the blanks.

Apparently this is no longer a separate document. The purpose is now served by this article in the Articles of Incorporation:

ELEVENTH: That the corporation manifests its willingness to change its corporate name in the event another person, firm or entity has acquired a rpior right to use the said firm name or one deceptively or confusingly similar to it.

just wondering. diba multiple copies yung per page ng forms galing sa sec like 5 copies for page 1 and all. pwede ba pa-xerox na lang yan? alangan naman type ko isa isa diba? thanks!

Are you talking about the "fill in the blank" forms? We use carbon paper to make the copies. We haven't tried photocopies yet.

However, they will want all signatures on all copies to be original.

Sorry I took so long. I had to ask the guy at the office who handles this for us.

The answer is...YES, but.

We have submitted photocopied forms with original signatures and the SEC accepted them and approved our application. BUT the last time we did this was in 2001, so it is possible that the acceptable practice has changed.
