SYDNEY -- Customer communications group Salmat Ltd said it will sell its 49-percent interest in its Philippine business process outsourcing joint venture for US$21.25 million to partner ClientLogic.

It said the sale is subject to approval by Philippine regulators. It is expected to be completed by the end of October along with the repayment of a US$3.7 million loan owed to Salmat.

As part of the agreement, a strategic alliance between Salmat and ClientLogic has been established, allowing Salmat to continue to offer to its Australian customers the offshore services provided by ClientLogic Philippines.

ClientLogic is one of the top five global business process outsourcing providers, offering customer services and back office processing services.

Salmat Limited (SLM) has signed an agreement to sell its 49% share of the ClientLogic Philippines joint venture for US$21.25 million ($28 million) to its joint venture partner ClientLogic. The agreement is subject to certain Philippines regulatory clearances, with completion expected by the end of October, the customer communications company said today.

A condition of the sale is that outstanding loans of US$3.7 million, owing to Salmat, are fully repaid prior to completion.

As part of the agreement, a strategic alliance between Salmat and ClientLogic would be entered into whereby Salmat is able to continue to offer to its Australian customers the offshore services provided by ClientLogic Philippines.

Salmat’s joint managing director Peter Mattick said the funds realised from the sale would be invested in strengthening the company’s technology and product offering in its call centres business.

“In particular, we are investing in speech verification technology to meet the growing demand for self-service call centre solutions,” Mr Mattick said in a press statement.

“Our recommended offer for the acquisition of speech solutions provider VeCommerce Limited is progressing well and is due to close on 12 October 2006.”

Salmat said the sale of its interest in ClientLogic Philippines is expected to realise approximately $24.5 million in profit before taxation.

At 1038 AEST, shares in Salmat were unchanged at $3.15.

From CLG press release

I am very excited to share some significant news with you. As an associate of ClientLogic, it is important you are amongst the first to be informed.

For the last year or more, we've studied the growing globalization of our industry and considered what our company can best do to take advantage of these trends. As more companies outsource key business processes, demand is increasing for experienced, flexible and scalable BPO partners.

ClientLogic has entered into an agreement to merge with SITEL, a leading Business Process Outsourcing (BPO) company. The attached press release summarizing the material terms of the transaction was issued earlier today. We expect the deal, which is subject to customary regulatory approval, to close in the next 60 to 90 days.

ClientLogic and SITEL are both exciting and dynamic global companies operating in the same industry and servicing a similar client base. Both companies have attracted a skilled staff of hard working associates who are client and customer oriented, and focused on providing high quality service and support. SITEL’s values align well with our own.

This merger with SITEL offers the opportunity to create the world's leading customer care BPO organization. With service-based outsourcing now an industry standard, the new entity's unmatched global presence and experience will have huge market appeal.

Synergistic Companies:
Both organizations have much in common, including our knowledge of the industry and our approach to serving clients.

Both companies operate in the same industry and provide similar services
Similar focus and approach to service excellence and quality
Broad knowledge across many vertical and geographic markets
Good for Our Clients:

Expanded capacity, geographic footprint and communications network will offer greater flexibility and choice for our clients’ customer service needs
Teams with deep industry experience across multiple verticals, providing clients with strategic insight into their business and how to best achieve measurable results
Offer clients additional complementary service offerings, providing ability to expand and/or centralize customer care initiatives
Good for Our Associates:

Being a part of an even larger, stronger company that is a leader in its industry
Pride that our team performance has enabled us to obtain this strategic growth
Additional career opportunities in an expanded company
Bringing together two global organizations of this size will take time and effort and we will endeavor to keep you well informed throughout the process. Please rest assured knowing that for now, and up until the closing of the deal, there will be no change in how ClientLogic conducts its business internally and with our clients. It is simply “business as usual”. We should continue to serve all our clients, promote our business and interact with our colleagues – exactly as we’ve always done.

This event marks a defining moment for ClientLogic as we continue on our mission to deliver the best customer care outsourcing solutions available to our clients and their customers. This is a major step forward for both companies, enabling us to deliver the customer care BPO industry's highest-quality services, while providing clients with the strategic insight, scale and diversity of offerings to guarantee their success.

We have a lot to look forward to as this merger comes to fruition.

Our future is bright!

Hmmm dahil dito...baka magkaroon na ng bond at non-compete clause ang mga future employees ng Sitel.
